Acceptable Use Policy

1. Introduction

ZenGuard Markets Ltd ("we", "us", "our") provides a trading platform and related services to clients worldwide. This Acceptable Use Policy ("Policy") sets out the rules and standards governing the use of our platform, website, applications, and services. By accessing or using our services, you agree to comply with this Policy. Failure to do so may result in the suspension or termination of your account and access to our services.

This Policy is designed to protect the integrity of our platform, ensure fair access for all clients, prevent market abuse, and maintain compliance with applicable laws and regulations. We reserve the right to take such action as we deem necessary, including legal action, against any person who violates this Policy.

2. Scope

This Policy applies to all users of ZenGuard Markets services, including clients, authorised representatives, and any person who accesses our platform, website, or applications. It applies regardless of the device or method used to access our services, including desktop applications, mobile applications, web browsers, and application programming interfaces (APIs).

The Policy applies in addition to and not in substitution of our Terms of Service, Privacy Policy, and other applicable policies and agreements. In the event of any conflict between this Policy and such other documents, the more restrictive provision shall apply to the extent of the conflict.

3. Permitted Use

Our platform is intended for legitimate personal or professional trading activity. Permitted use includes opening and closing positions in financial instruments offered by ZenGuard Markets, managing your account, accessing market data and research tools, and using our platform features for their intended purposes in accordance with our Terms of Service.

You may use our services only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the platform. You are responsible for ensuring that your use of our services complies with all applicable laws and regulations in your jurisdiction.

4. Prohibited Activities

The following activities are strictly prohibited when using ZenGuard Markets services. This list is not exhaustive, and we reserve the right to determine that other conduct constitutes a violation of this Policy.

Market Manipulation. You must not engage in any form of market manipulation, including but not limited to: spoofing (placing orders with the intent to cancel before execution to create false market depth); layering (placing multiple orders on one side of the market to create a false impression of supply or demand); wash trading (entering into transactions that create a false appearance of market activity); pump and dump schemes; and any other conduct designed to artificially influence prices or create a misleading impression of the market.

Abusive Trading. You must not engage in abusive trading practices, including: arbitrage or trading strategies that exploit pricing or execution delays in a manner that harms the platform or other clients; tick scalping or other strategies that seek to profit from minimal price movements by exploiting latency; and any strategy that we determine, in our sole discretion, to be abusive or detrimental to the fair and orderly operation of our markets.

Latency Arbitrage. You must not use technological means to gain an unfair advantage through latency arbitrage, including the use of co-location, proximity hosting, or other means to exploit speed advantages to the detriment of ZenGuard Markets or other clients. We monitor for such activity and will take action against users who engage in it.

System Exploitation. You must not attempt to exploit vulnerabilities in our platform, including: reverse engineering, decompiling, or disassembling our software; attempting to circumvent security measures, access controls, or authentication systems; introducing viruses, malware, or other harmful code; or conducting denial-of-service attacks or other actions that could disrupt the availability of our services.

Unauthorised Access. You must not access or attempt to access any account, system, or data that you are not authorised to access. This includes using another person's credentials, sharing your credentials with others, or attempting to gain access through fraudulent means.

5. Account Security Obligations

You are responsible for maintaining the security of your account credentials. You must use a strong, unique password and keep your login details confidential. You must not share your account with any other person or allow any other person to access the platform using your credentials. If you suspect that your account has been compromised, you must notify us immediately.

You are responsible for all activity that occurs under your account, whether or not you authorised such activity. We recommend enabling two-factor authentication where available and regularly reviewing your account activity. Failure to maintain adequate account security may result in liability for losses and may constitute a violation of this Policy.

6. Intellectual Property

All content, software, and materials on our platform are the property of ZenGuard Markets Ltd or our licensors and are protected by intellectual property laws. You must not copy, modify, distribute, or create derivative works from our platform, software, or content without our express written consent. You must not remove or alter any copyright, trademark, or other proprietary notices.

You may use our platform only for its intended purpose. Any unauthorised use of our intellectual property may result in immediate termination of your account and may subject you to legal action. We respect the intellectual property rights of others and expect our users to do the same.

7. API Usage

If you use our API or any automated trading systems to access our platform, you must comply with our API terms of use and any rate limits or usage restrictions we impose. You must not use the API to circumvent platform restrictions, overload our systems, or engage in any activity that could harm the platform or other users.

We reserve the right to monitor API usage and to restrict or terminate API access for users who violate this Policy or our API terms. Excessive API calls, automated scraping of data beyond permitted use, or use of the API for purposes other than trading may result in immediate suspension of API access.

8. Third-Party Software

You may use third-party software, including expert advisors (EAs), trading bots, and other tools, in connection with our platform only where such use complies with this Policy and our Terms of Service. You are responsible for ensuring that any third-party software you use does not engage in prohibited activities, including market manipulation, abusive trading, or system exploitation.

We do not endorse or support any third-party software, and we are not responsible for the functionality or security of such software. Use of third-party software that causes harm to our platform or other users may result in account suspension or termination. We may block or restrict the use of specific third-party software where we determine it poses a risk to our platform or clients.

9. Monitoring and Enforcement

We actively monitor platform activity to detect and prevent violations of this Policy. Our monitoring includes automated systems to identify suspicious trading patterns, market abuse, and technical violations. We also conduct manual reviews where appropriate. By using our services, you consent to such monitoring and acknowledge that we may retain and analyse data for compliance and enforcement purposes.

We cooperate with regulatory authorities and law enforcement in the investigation of suspected violations. We may disclose information about your account and activity where required by law or where we believe such disclosure is necessary to protect our rights, our clients, or the integrity of the financial markets.

10. Consequences of Violation

Violation of this Policy may result in one or more of the following consequences: Warning. We may issue a warning for minor or first-time violations, giving you an opportunity to correct your conduct. Restriction of access. We may restrict your access to certain platform features, limit your trading activity, or impose other operational restrictions. Account suspension. We may suspend your account temporarily, during which time you will not be able to access the platform or execute trades. Account termination. We may terminate your account permanently and close any open positions at prevailing market prices.

Forfeiture of funds. In cases of serious violation, including fraud or market manipulation, we may withhold or forfeit funds in your account as permitted by law and our Terms of Service. Reporting to authorities. We may report suspected illegal activity to relevant regulatory authorities, law enforcement, or other bodies. Legal action. We may pursue civil or criminal remedies against you. The consequences we impose will depend on the nature and severity of the violation, your history of compliance, and other relevant factors. We are not required to provide advance notice before taking action where we believe immediate action is necessary.

11. Reporting Violations

If you become aware of any violation of this Policy by another user, or if you have concerns about conduct on our platform, please report it to us. You may contact our compliance team at compliance@zenguardmarkets.com. We treat reports confidentially and will investigate all credible reports of policy violations.

We encourage you to report suspected market manipulation, fraudulent activity, or other serious violations. Your report helps us maintain the integrity of our platform and protect all users. We will not tolerate retaliation against any person who makes a good-faith report of a suspected violation.

12. Amendments

We may amend this Policy from time to time to reflect changes in our services, legal requirements, or industry standards. When we make material changes, we will notify you by posting the updated Policy on our website and, where appropriate, by email or through a notice on our trading platform. The "Last updated" date at the top of this page indicates when the Policy was last revised.

Your continued use of our services after any amendments constitutes your acceptance of the updated Policy. If you do not agree to the amended Policy, you must cease using our services and may close your account. We encourage you to review this Policy periodically to stay informed about your obligations.
